Sankyo Tateyama, Inc. (TSE:5932) signed a definitive agreement to acquire four subsidiaries of Aleris based in Europe and Asia from Aleris International, Inc. for 81.5 million on November 27, 2014. Sankyo Tateyama will acquire Aleris Extruded Products Germany GmbH, Duinlust Grundstücks GmbH, Aleris Aluminum Duffel BVBA and Aleris Aluminum (Tianjin) Co., Ltd. Sankyo Tateyama will pay 35.5 million in cash and assume 46 million in pension liabilities. For the year ended December 2013, the four subsidiaries of Aleris posted net sales of 270 million. The transaction is expected to close in the first quarter of 2015. As on January 27, 2015, the initial transfer date has been changed from February 1, 2015 to March 1, 2015. Mark Henkels and Devon Ghelani of Moelis & Co. LLC acted as financial advisors and Fried Frank LLP acted as legal advisor for Aleris. Luc Houben of Jones Day acted as legal advisor for Aleris International, Inc. ARQIS Rechtsanwälte acted as legal advisor to Sankyo Tateyama, Inc. (TSE:5932).

Sankyo Tateyama paid a purchase price of 35.5 million for the business and assumed approximately 60.9 million of pension liabilities.
