Svendborg Sparekasse A/S (CPSE:SVEND) entered into an agreement to acquire Vestfyns Bank A/S (CPSE:VEFY) for approximately $300 million on September 4, 2013. Under the terms of the agreement, Vestfyns Bank's shares will be exchanged for newly issued shares in Svendborg Sparekasse. Vestfyns shareholders will get 11 new shares of Svendborg.

Svendborg Sparekasse will be the surviving entity and the name of the combined entity will be changed to Den Fynske Bank. Management of Fynske Bank will consist of Petter Blondeau from Svendborg Sparekasse and Arne Jakobsen from Vestfyns Bank with Petter Blondeau as the Chief Executive Officer. There will not be any job cuts as a result of the merger.

The shareholders of Svendborg Sparekasse and Vestfyns Bank approved the deal. The merger plan is expected to be published in November 2013 and the transaction is expected to close in the fourth quarter of 2013. As of December 5, 2013, the transaction was approved by the shareholders of Vestfyns Bank.

As of December 6, 2013, Finanstilsynet (the Danish Financial Supervisory Authority) approved the transaction. Carsten Heinild, Steffen Søeborg, Jacob Lønfeldt and Christian Stampe Sørensen of SEB Corporate Finance acted as fairness opinion providers for the transaction.
