Titon Holdings Plc announced that Keith Ritchie, Non-Executive Chair, has informed the Board of his intention to retire and step down as a Non-Executive Director on 28 February 2024, at the end of his notice period of 3 months. In the meantime, Keith has stepped down as Chair of the Board with effect from November 28, 2023 and Paul Hooper, an independent Non-Executive Director of the Company, has assumed the role of Interim Chair with immediate effect, for the remainder of this calendar year whilst the Board determines a new permanent Chair appointment. Keith steps down after 11 years with the Group, having served as Executive Chair following his appointment in May 2012, and most recently as Non-Executive Chair since October 2022.

The Board also announces its intention to appoint Jamie Brooke as a Non-Executive Director. Jamie's appointment is subject to the completion of due diligence required by the AIM Rules for Companies and AIM Rules for Nominated Advisers (the "AIM Rules") to be undertaken by the Company's Nominated Adviser. A further announcement, including the requisite Schedule 2(g) disclosures required under the AIM Rules for Companies, will be made in due course.

For the past 25 years, Jamie has worked in quoted fund management and private equity, originally starting out with 3i Plc. Most recently he worked with Hanover Investors and, prior to this, he spent twelve years with the Volantis team under the umbrellas of Lombard Odier, Henderson and Gartmore. Jamie is currently a Non-Executive Director at Flowtech Fluidpower Plc, Chapel Down Group Plc, Oryx International Growth Fund Plc, Triple Point Venture VCT Plc and Kelso Group Holdings Plc.

He is also a member of the Investment Advisory Group to Rockwood Strategic Plc. He trained as an ACA with Deloitte. A further announcement will be made in due course regarding the permanent succession of the Chair role.
