Jones Lang LaSalle agreed to acquire 70% stake in Tansei Mall Management Co.,Ltd. from Tanseisha Co., Ltd. (TSE:9743) on January 30, 2015. Under the terms of the agreement, Tanseisha Co., Ltd. will sell 840 shares. In 2015, Jones Lang LaSalle made acquisitions including Tansei Mall Management Co.,Ltd. for $373 million in cash and guaranteed deferred consideration of $23.1 million subject only to the passage of time and contingent earn-out consideration of $105.1 million subject to provisions that will be paid upon certain performance conditions being met which are recorded at their acquisition date fair value. Post transaction Tanseisha Co., Ltd. will hold 360 shares or 30% of Tansei Mall Management Co.,Ltd. The transaction is expected to close on February 2, 2015.
