WILLTEC Co.,Ltd. agreed to acquire Thousandplan, Inc. from Yusuke Inoue for ¥550 million.

WILLTEC Co.,Ltd. (TSE:7087) agreed to acquire Thousandplan, Inc. from Yusuke Inoue for ¥550 million on June 17, 2020. Under the terms of the transaction, WILLTEC will acquire 40 share, representing 100% stake and after closing of the transaction, Thousandplan, Inc. will operate as wholly owned subsidiary of WILLTEC Co.,Ltd. Thousandplan reported net worth of approximately ¥260 million, total assets of approximately ¥320 million, sales of approximately ¥530 million, operating income of ¥97.1 million and net income of ¥67.4 million for the year ending December 2020. The board of directors of WILLTEC in its meeting held on June 17, 2020 decided to acquire all shares of Thousandplan. The agreement is expected to be signed on June 23, 2020. The impact of the transaction on the business performance of WILLTEC would be minor. The transaction advisory fee is ¥42 million.
WILLTEC Co.,Ltd. is engaged in the manufacturing support business, construction support business and EMS business. The Company operates in three business segments. The Manufacturing Support segment is mainly engaged in the manufacturing contracting and dispatching business, the mechanical and electrical engineer dispatching business, and the repair service business. The Construction Support segment conducts construction engineer dispatching business. The EMS segment includes contract manufacturing and electronic parts wholesale. The other businesses include support for the disabled, livestock industry business and overseas businesses.
