COMPLETION OF INTRA-GROUP RESTRUCTURING EXERCISE

Unless otherwise defined or the context requires otherwise, capitalised terms used herein shall bear the same meanings ascribed to them in the Previous Announcements (as defined below).

The board of directors (the "Board" or the "Directors") of The Place Holdings Limited (the "Company", and together with its subsidiaries, the "Group") refers to the Company's announcements on 7 July 2021 which are entitled "Proposed Intra-GroupRestructuring Exercise" and "Incorporation of a Wholly-ownedSubsidiary" (collectively, the "Previous Announcements").

Further to the Previous Announcements, the Board wishes to update shareholders that the Proposed IntraGroup Restructuring Exercise (as defined in the Previous Announcements) had been completed on 24 September 2021.

To recap, following the completion of the Proposed Intra-Group Restructuring Exercise, Singapore Vast Universe Investment Pte. Ltd. ("Singapore Vast Universe"), a wholly-owned subsidiary of the Company, owns 100% of the equity interest in Beijing Vast Universe Culture Communication Co., Ltd. ("BJVU"), and accordingly, the Company owns 100% of the effective interest in BJVU through Singapore Vast Universe. Please refer to Appendix A for the corporate chart of the Group immediately after the completion of the Proposed Intra-Group Restructuring Exercise.
