On April 4, 2024, Surrozen, Inc. closed the transaction. The investors purchased 193,548 Shares at a purchase price of $15.50 for gross proceeds of $2,999,994. The accompanying warrants include Series A common stock warrants to purchase up to 193,548 shares of common stock with an exercise price of $15.50 per share, Series B common stock warrants to purchase up to 210,526 shares of common stock with an exercise price of $14.25 per share, Series C common stock warrants to purchase up to 749,998 shares of common stock with an exercise price of $16 per share and Series D common stock warrants to purchase up to 749,998 shares of common stock with an exercise price of $16 per share.

The transaction included participation from returning investors Column Group III, LP, a fund managed by The Column Group, LLC, Column Group III-A, LP, THE COLUMN GROUP III GP, LP and individual investor TIM KUTZKEY. The company will issue securities pursuant to exemption provided under Regulation D. The transaction included participation from 18 non accredited investors.
