On April 22, 2024, Slate Office REIT announced that subsequent to the delivery and filing of its materials related to the Meeting, it has received notice from G2S2 Capital Inc of its intention to nominate 2 additional individuals Brian Luborsky and Scott Dorsey for election as directors at the Meeting, and G2S2 and Armco Alberta Inc have since filed a dissident information circular and form of proxy in respect of those nominations, including a recommendation to shareholders of the Company that votes be withheld in respect of the election of 2 of the independent directors Jean Charles Angers and Lori Ann Beausoleil at the Meeting. In addition, the Company stated that following receipt of the Notice, Lori-Ann Beausoleil advised the Board that she is declining to stand for re-election to the Board and tendered her resignation as a director of the Company effective May 2, 2024, and, thus, will not be standing for re-election at the Meeting. Further, the Company stated that following attempts by the Company to come to a cooperative outcome with Armoyan, and in light of the resignation of Lori-Ann Beausoleil, on the recommendation of the Governance Committee, the Board resolved to nominate Scott Dorsey, one of the individuals put forward by Armco, in place of Lori-Ann Beausoleil and to add Dorsey to the Company?s slate of management nominees to be considered for election as Directors at the Meeting.

Furthermore, the Company mentioned that it has filed a form of proxy statement, urged the shareholders to vote for Samuel Altman, Jean-Charles Angers, George Armoyan, Scott Dorsey, Blair Welch and Brady Welch, and withhold in respect of Brian Luborsky, at the annual meeting of shareholders scheduled to be held on May 3, 2024.
