SII today announced the signature of an investment protocol between the members of the family group of Bernard Huvé (the founder), Eric Matteucci (Chairman of the SII Board of Directors, "the leader"), the other members of the SII Board of Directors (the managers), the company SII Goes On (the initiator) and funds managed or advised by Blackstone Tactical Opportunities Advisors (the investor).

Following the conclusion of the Investment Protocol, the Concert currently holds 53.12% of the Company's share capital and theoretical voting rights. It has exceeded the thresholds of 30% of the Company's share capital and voting rights, and must therefore file a simplified tender offer for all SII shares.

In accordance with the terms of the Investment Protocol, the Founder will transfer full ownership of 133.669 SII shares at a price of 70 euros per share.

Following completion of the Disposals and the Contributions in Kind, the Huvé Family Group, the CEO and the Managers will respectively hold 87.06%, 12.86% and 0.08% of the share capital of SII Goes On, and SII Goes On will hold 52.65% of the Company's share capital and theoretical voting rights.
