Origin Enterprises plc (ISE:OIZ) commences share repurchases on November 21, 2023, under the program mandated by the shareholders in the Annual General Meeting held on November 16, 2023. As per the mandate, the company is authorized to repurchase up to 10% of its issued share capital as at close of business on the date of passing of this resolution. The minimum price (exclusive of expenses) which may be paid for each ordinary share is nominal value and the maximum price which may be paid for each ordinary share is the higher an amount equal to 105% of the average of the of the five amounts resulting from determining whichever of the following for the five business days immediately preceding the day on which the ordinary share is contracted to be purchased which is: if there shall be more than one dealing reported for the day, the average of the prices at which such dealings took place or if there shall be only one dealing reported for the day, the price at which such dealing took place or if there shall not be any dealing reported for the day, the average of the high and low market guide prices for that day and an amount equal to the higher of the price of the last independent trade of an ordinary share and the current highest independent bid for an ordinary share as derived from the trading venue. The shares purchased may either be re-issued or held as treasury shares. The authority shall expire at the conclusion of the next Annual General Meeting of the company or February 15, 2025, unless previously varied, revoked or renewed by special resolution. As of October 18, 2023, the company had 111,950,350 ordinary shares in issue(excluding treasury shares).

On November 20, 2023, the company announced a share repurchase program. Under the program, the company will repurchase 11,203,198 shares, for ?20 million of the Company's ordinary shares, pursuant to non-discretionary arrangements with Goodbody Stockbrokers UC. The purpose of the Share Buyback Program is to reduce the share capital of the Company. The repurchased ordinary shares will be held in treasury pending their cancellation or re-issue in due course. The Share Buyback Program will commence on November 21, 2023 and may continue until July 29, 2024.
