The following is a Company Announcement issued by Lombard Bank Malta p.l.c. pursuant to the Capital Markets Rules of the Malta Financial Services Authority.

Reference is made to the Company Announcement issued by Lombard Bank Malta p.l.c. (the 'Bank') on 11 September 2023 (Ref. LOM 291) regarding the Bank's submission to the Malta Financial Services Authority of an Application for Authorisation for Admissibility to Listing in relation to a rights issue of 2 new ordinary shares for every 3 ordinary shares held by shareholders appearing on the Bank's Register of Members at the Central Securities Depository of the Malta Stock Exchange as at the close of trading on 19 September 2023 (the 'Record Date') at an offer price of €0.75 per share (the 'Rights Issue').

The Bank announces that it has today received regulatory approval from the Malta Financial Services Authority for a prospectus dated 20 September 2023 relative to the Rights Issue (the 'Prospectus'), and for the admissibility to listing on the Official List of the Malta Stock Exchange of up to 61,828,332 new ordinary shares in the Bank having a nominal value of €0.125 each which will be offered, pursuant to the Rights Issue, to the shareholders appearing on the Bank's Register of Members as at the Record Date. Any rights to subscribe for new ordinary shares not accepted, assigned or paid by such eligible shareholders shall constitute lapsed rights, and the amount of new ordinary shares equivalent to the number of lapsed rights (the 'Excess Shares') will be made available as detailed in the Prospectus.

If fully subscribed, the proceeds of the Rights Issue shall, net of expenses, amount to approximately €45.4 million. Such proceeds will be applied by the Bank to further strengthen its capital base with a view to ensuring that the Bank is well-positioned to meet the capital buffers required in terms of regulatory requirements and to supplement the funding requirements for the implementation of the Bank's strategic objectives as described in the Prospectus.

Printed copies of the Prospectus may be obtained from the Bank's registered office and its branch network or from any of the authorised financial intermediaries as set out in Annex I of the Securities Note forming part of the Prospectus, as from 28 September 2023.

A Shareholders' Information Session in relation to the Rights Issue will be held on 27 September 2023. Details of this session will be communicated to eligible shareholders in the coming days.
