Start Today Co., Ltd. (TSE:3092) entered into a share exchange contract to acquire Aratana Inc. from Minoru Yamamoto, Shinji Hamozu, JAFCO Super V-3 Investment Limited Partnership, a fund of JAFCO Co., Ltd. (TSE:8595), Social Ad & Commerce Technology Fund, a fund of GMO VenturePartners, Inc., and others in stock on March 25, 2015. Under the terms of the transaction, 1 Aratana ordinary share can be exchanged to 117.3 ordinary shares of Start Today, 1 Aratana Class B classified stock can be exchanged to 240.2 ordinary shares of Start Today, 1 Aratana Class C classified stock can be exchanged to 230 ordinary shares of Start Today.
Aratana had net assets of ¥404 million, total assets of ¥862 million, net sales of ¥578 million, operating loss of ¥25 million and net loss of ¥5 million for the period ended April, 2014. The Board of Directors of Start Today and Aratana approved the transaction on March 25, 2015. The share exchange approval from shareholders' meeting of Aratana is scheduled on April 9, 2015. The share exchange execution date is scheduled on May 28, 2015.
