52ND ANNUAL GENERAL MEETING

At the 52nd Annual General Meeting of Julius Berger Nigeria Plc ("the Company") held on June 16, 2022, Members passed the following resolutions to:
Authorise a dividend of ₦2.50K per 50K share. The Dividend payment date shall be June 17, 2022;
Approve the appointment of Mr. Christian Hausemann as Director of the Company and Financial Director;
Approve the re-electionof Mr. Mutiu Sunmonu, CON, Mrs. Belinda Ajoke Disu, CAL, and Mrs. Gladys Olubusola Talabi as Directors of the Company;
Authorise the Directors to fix the remuneration of the Auditors;
Elect Chief Timothy Adesiyan, Sir Sunday Nnamdi Nwosu, KSS and Brig. Gen. Emmanuel Ebije Ikwue, GCON, as the 3 (Three) Shareholders' representatives ("the Shareholders' representatives"), and to constitute Mr. Ernest Chukwudi Ebi MFR, FCIB, FIOD and Engr. Jafaru Damulak, the Board's representatives and the Shareholders' representatives into the Statutory
Audit Committee for the Financial year ending December 31, 2022.
