Dear Sirs:
In accordance with the provisions of articles 9 and 10 of the Securities Market Law and the General Rule No. 30 issued by the Superintendence under your authority, I hereby inform you, duly authorized, that Empresas CMPC S.A. has acted as guarantor and joint debtor of its subsidiary Inversiones CMPC S.A., in relation to a bond issued by the latter in Mexico today.
This is the first time that the issuer has made a public offering of notes in Mexico, under the local Securities Market Law and applicable regulation in that country. The issuance comprises two terms: a MXN $1,600 million, 2-year maturity bond, which will bear an interest rate of TIIE plus 80 bps, and a MXN $1,600 million, 9-year maturity bond, bearing a fixed interest rate of 10.62%. Interest payments will be made every 28 days and 182 days, respectively. The issuance is equivalent to approximately US$188 million.
The 2-year term is a green bond while the 9-year term is a sustainability-linked bond. This means that the proceeds of the 2-year term will be financing or refinancing projects that qualify as green, and that, in order to be compliant with the 9-year term conditions, CMPC must meet certain sustainability objectives within the agreed-upon deadlines. These objectives will be monitored through Key Performance Indicators and Sustainability Performance Targets, among others. This is our second issuance meeting both conditions and is the only one carried out by a company in Latin America.
The placement banks were BBVA, Santander, and Scotiabank.
