Subject : Determination of the subscription and payment date for the Company's newly issued ordinary shares which is allocated to Private Placement
Attention : President Stock Exchange of Thailand
The Extraordinary General Meeting of Shareholders No. 1/2022 of Ekachai Medical Care Public Company Limited (the "Company"), which held on 29 June 2022, resolved to approve the allocation of newly issued ordinary shares to Private Placement at a price of THB 7.20 per share. The details are in the notice of resolutions of the Extraordinary General Meeting of Shareholders of the Company which was notified to the Stock Exchange of Thailand on 29 June 2022.
The Company hereby inform that the Company received the permission from the Office of the Securities and Exchange Commission to offer the Company's newly issued ordinary shares to Private Placement. The Company will allocate 40,000,000 newly issued ordinary shares of the Company to 2 Private Placements by virtue of the Extraordinary General Meeting of Shareholders No. 1/2022, which will be offered of newly-issued ordinary shares to Private Placement on 12-15July 2022. The details are as follow :

Therefore, the offering of newly-issued ordinary shares to Private Placement it is not considered as an offering of shares at a price lower than 90 percent of the market price. in accordance with the rules and regulations prescribed in the Notification of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures Governing the Listing of Ordinary or Preferred Shares Issued for Capital Increase B.E. 2558 (2015) on 11 May 2015 (including any amendments thereto).
In this regard, after the allocation of the newly-issued ordinary shares is completed, the Company will proceed the registration of change in paid-up capital of the Company with the Department of Business Development, Ministry of Commerce.
The offering of such shares does not meet the conditions for adjustment of rights as specified in the Terms and conditions governing the rights and obligations of the issuer and holders of the warrants to purchase ordinary shares of Ekachai Medical Care Public Company Limited No. 1 ("EKH-W1").
