On April 16, 2024, AtkinsRéalis announced that it has received a shareholder proposal from Shareholders' Education and Defense Movement, requesting the Company to 1) consider the opportunity to introduce a new direction in terms of incentive compensation with the aim of linking part of the compensation of all employees to the performance of the organization?s main ESG objectives, 2) the annual meetings of the Company be held in person, with virtual meetings being added as a complement, without replacing in-person meetings, 3) the languages mastered by the executives be disclosed in the proxy solicitation circular, 4) the Company hold an annual advisory vote on its environmental and climate objectives and action plan. In addition, the Company stated that following discussions with the Shareholders' Education and Defense Movement, it was agreed not to hold a vote on Proposals to 1) incentive compensation for all employees in light of ESG objectives, 2) disclosure of languages mastered by executives. Further, the Company recommended the shareholders to vote against the proposals to 1) the annual meetings of the Company be held in person, with virtual meetings being added as a complement, without replacing in-person meetings, 2) the Company hold an annual advisory vote on its environmental and climate objectives and action plan, at the annual meeting of shareholders scheduled to be held on May 16, 2024.
