MATERIAL FACT

Ambipar Participações e Empreendimentos S.A. ("Ambipar" or "Company") (B3: AMBP3), in accordance with Article 157, paragraph 4th of Brazilian Corporation Law (Law No. 6,404/76, dated as of December 15th, 1976), as amended, and with CVM Instruction No. 358, dated as of January 3rd, 2002, as amended, hereby inform to its shareholders and the market in general that, it has acquired 50,01% of Boomera do Brasil - Gestão Ambiental Ltda ("Boomera"), through its controlled company Environmental ESG Participações S.A..

Boomera has been operating in the Brazilian market for 9 years, providing circular economy solutions, such as the recovery of complex waste, especially flexible packaging plastics, and the manufacture of recycled products. Its solutions also undergo impact actions in partner communities.

It has a proprietary methodology, CircularPack, which operates the circular economy from end to end, carries out technical consultancy projects for large companies and transforms post-consumer plastic waste into raw material for large chemical industries. It works in partnership with more than 500 waste picker cooperatives and 8,000 cooperative members to transform waste into raw materials or new recycled products.

Boomera now becomes Boomera Ambipar Gestão Ambiental S.A., with the objective of accelerating its growth, enhancing synergy with the Ambipar Group, expanding its access to waste and expanding the production of recycled material. The expansion plan for the coming months foresees the creation and offer of reverse logistics credit, the use of point- to-point traceability solutions, adding and sharing value with cooperatives of recycled material collectors. Synergies through logistics services in Brazil will expand the circular economy cycle and obtain materials for its activities.

For Ambipar, this acquisition: (i) increases its service portfolio, as it starts to work with post-consumer waste and in partnerships with cooperatives; (ii) reaffirms the commitment to the transition from Linear to Circular Economy and (iii) reinforces ESG's Environmental and Social pillars.

In recent decades, companies of different sizes have started to deal with the challenge of finding a sustainable destination, or less harmful to the environment, for their waste. The development and evolution of recycling processes led to the creation of Circular Economy concepts as the best way to reduce environmental impacts resulting from industrial activities.

Aware of this scenario, Boomera, a Brazilian specialist company reference in Circular Economy and in the manufacture of recycled products in the national market, has been working for 9 years to bring more sustainable solutions to companies that seek to follow this

trend and global need, reducing destinations to landfills, especially of materials considered difficult to recycle, such as flexible packaging plastics.

With its proprietary methodology, Circular Pack®, it develops end-to-end projects, according to the challenge of each client, ranging from technical consultancy, reverse logistics, waste transformation to the creation of new products. And through them, the company prevented more than 131,000 tons of waste from polluting the environment with work carried out with more than 400 global and national companies.

For the innovative and sustainable solutions that Boomera offers, it has its own laboratory in partnership with a university focused on science and transformation, a flexible plastic sheeting factory with proprietary XF® technology.

Aiming to expand its activities and act in the transformation of waste into new applications, Boomera offers the market the development and manufacture of post-consumerresins (PCR) with high technology and application quality. The first launch was carried out with a lot of research and development through a long-term partnership with the American giant Dow, which it classified as the first high-performance resin for Latin America.

Boomera also interacts in partnership with major brands and retailers, who seek environmental and social impact solutions, through development programs for waste picker cooperatives. It has more than 500 approved cooperatives throughout Brazil that are part of several Reverse Logistics projects, contributing to the collection and sorting of collected waste.

The work of cooperatives is extremely important for the practice of Circular Economy. Thus, Boomera manages with its projects to generate not only sustainable impacts, but also social ones, as they encourage the development and continuous improvement of cooperatives, through training, investment in infrastructure, machinery and equipment, and supply of PPE. As a result, they increase the income of cooperatives and the quality of life of more than

8,000 members.

In 2021, the focus is on seeking new technologies to add agility and scalability to projects, improve the traceability of waste and the connection of important stakeholders for the Circular Economy, helping to insert more and more waste back into production processes, replacing the raw material.

In order to unite science, awareness and results with social and environmental contribution, Boomera was one of the first Circular Economy companies certified as B Company. It is a signatory of the Ellen MacArthur Foundation and has already won many recognitions over the years as Great Cases of Packaging 2019 and 2020, Social Entrepreneur of the Year by the World Economic Forum, Schwab Foundation in 2020 and by Folha de São Paulo in 2019.

The Company clarifies that this acquisition will not be submitted to the approval of its shareholders, nor will it be entitled to withdrawal, considering that (i) it was carried out through its subsidiary, a closed corporation; and (ii) the price paid in the acquisition does not exceed one and a half times the highest of the three values provided for in article 256, II of Law No. 6,404/76.
