NOTICE TO THE MARKET

Ambipar Participações e Empreendimentos S.A. ("Ambipar Group" or "Company") (B3: AMBP3) announces the acquisition of 65% of the company SIR Ambiente Inteligência Ambiental Ltda ("SIR Ambiente"), through its subsidiary Environmental ESG Participações S.A ("Environmental ESG").

SIR Ambiente has been operating for nearly 20 years in the Brazilian market providing solutions in industrial waste management, environmental consulting, reverse manufacturing processes for hospital medical equipment, electronics, clothing, lamps, aerosol, among others, encouraging circular economy processes, such as recovery of waste and seeking sustainable innovations for its customers and partners.

For the Ambipar Group, this acquisition generates operational synergies with the current reverse manufacturing division, bringing opportunities to optimize administrative and cross selling activities, in line with the strategic growth plan, with potential to maximize margins and return.

SIR Ambiente, currently, becomes Ambipar Ambiental SIR Reverse Manufacturing S.A., which now has strategic management and structure from the Ambipar Group to drive growth in Brazil and in the sectors where it has operations.

The Company clarifies that this acquisition will not be submitted to the approval of its shareholders, nor will it give rise to the right of withdrawal, considering that: (i) it was carried out through its privately held subsidiary; and (ii) the price paid for the acquisition does not exceed one and a half times the highest of the three amounts provided for in article 256, II of Law 6,404/76.
