5.Cause of occurrence:
Zinwell Corporation will participate in a cash capital increase
of its subsidiary AkiraNET Co. and has the right to subscribe
AkiraNET Co. 7,997,990 shares.  In consideration of AkiraNET Co.
working capital planning and bringing in specific third party
to enhance the operational capabilities of AkiraNET Co.,
Zinwell Corporation will subscribe 3,920,000 shares with
NT$10 per share and partially waive the subscription rights
for 4,077,990 shares, i.e., Zinwell Corporation will invest
NT$39,200,000 in this cash capital increase round of AkiraNET Co.
