Yahoo Japan Corporation (TSE:4689) signed a contract to acquire KC Co., Ltd. from KC Card Co., Ltd. for ¥22.7 billion on June 25, 2014. Through an absorption-type corporate split, KC Card Co., Ltd will first spin out a portion of its operations related mainly to the brand name of KC Card, into a newly established company named KC Co., Ltd. Yahoo Japan Corporation will then acquire all the 1300 shares of KC Co., Ltd. For the year ending December 31, 2013, the acquired operations reported total assets of ¥66.23 billion, net assets of ¥47.85 billion, operating revenue of ¥9.71 billion, operating income of ¥3.65 billion, net income of ¥3.85 billion. Yahoo Japan will incur ¥70 million in advisor fees on the purchase.

The transaction is expected to be closed by January 5, 2015. The impact of the purchase on Yahoo Japan's consolidated and non-consolidated performances for the fiscal year ending March 2015 is expected to be minor.
