Bain Capital Private Equity, LP made an offer to acquire Tri-Stage Inc. (TSE:2178) from Sojitz Corporation (TSE:2768) and others for ¥14.2 billion on April 12, 2022. Bain Capital is paying ¥565 per common stock. The tender offer will be implemented between April 13, 2022 to June 10, 2022.

The acceptance period of the tender offer closed on June 10, 2022, and the Tender Offer has exceeded the lower limit of the planned number of purchases. The transaction is expected to complete on June 16, 2022. Hibiya Park Law Office acted as legal advisor and Frontier Management Inc. acted as financial and fairness opinion provider for Tri-Stage.
