Resolutions of Members of Transcorp Hotels Plc at the 10th Annual General Meeting held on Monday, April 29, 2024, at the Transcorp Hilton Hotel Abuja

Abuja, Nigeria, April 29, 2024

At the tenth Annual General Meeting of Transcorp Hotels Plc ("the Company") held on April 29, 2024, at Congress Hall, Transcorp Hilton Abuja, the following resolutions were proposed and duly passed:

ORDINARY RESOLUTIONS

1. That a dividend of N0.20k per ordinary share in the capital of the Company be and is hereby declared by the members as recommended by the Directors, and the said dividend be paid to shareholders whose names appear in the Company's Register of Members as at the close of business on the 15th day of April 2024.
2. That the appointments of Alhaji Garba Abubakar, Ms. Adesimbo Ukiri and Dr. Oluwatoyin Madein be and are hereby approved as Directors of the Company.
3. That Dr. Mrs. Owen Omogiafo, OON, and Ms. Bolanle Onagoruwa, having retired by rotation, being eligible for re-election and having been presented for re-election, be and is hereby re-elected as Directors of the Company.
4. That the Directors be and hereby authorised to fix the remuneration of the Auditors for the year ending December 31st, 2024.
5. That Mr. Obot Akaninyene, Mr. Eric Akinduro, Mr. Erinfolami Gafar, Mr. Peter Elumelu and Ms. Bolanle Onagoruwa, be elected to the Statutory Audit Committee of the Company for the year 2024.

SPECIAL RESOLUTION:

1. That pursuant to Part 1, Section 11 of the Schedule to the Business Facilitation (Miscellaneous Provisions) Act 2022, Article 14 of the Company's Articles of Association be amended by the insertion of a new Article 14(a) to provide as follows:
   'That the Company's Annual General Meeting may hold either physically or electronically, provided that the meeting is held in compliance with the Company's Articles of Association'".
2. That the remuneration of Directors be and is hereby fixed at the sum of N91,900,000.00 (Ninety One Million Nine Hundred Thousand Naira) for the year ending December 31, 2024, such payment to be effective from January

1, 2024''.

1. That the Company be and is hereby authorised to invest in, acquire, or divest from any business and/or carry out as the Directors may deem appropriate and in accordance with any relevant laws, any actions, including but not limited to restructuring, reorganization, reconstruction and such other business arrangement exercise or actions.
2. That subject to regulatory approval (where necessary), the Directors, be and are hereby authorised to take all steps and do all acts that they deem necessary in furtherance of the above, including but not limited to executing and filing all such forms, papers or documents, as may be required with the appropriate authorities; appointing professional advisers and parties that they deem necessary, upon such terms and conditions that the Directors may deem appropriate.
