CAUTIONARY ANNOUNCEMENT - NOTICE TO UNITHOLDERS

In terms of the Listings Requirements of the Botswana Stock Exchange ("BSE"), the Company is required to announce through the BSE any circumstances or events that have or are likely to have a material effect on the financial results of the Company for the period to be reported upon next.

The directors of FPC would like to advise all shareholders that the Company is in negotiations to acquire a commercial property in Gaborone from Royal Empress Pty Ltd, a related party to FPC.

The directors would also like to advise that, they will be disclosing complete information about the deal once the deal is completed and after necessary regulatory approvals are obtained.

Accordingly, shareholders are advised to exercise caution when trading in their FPC shares until a further announcement is made.
