Teaminvest Private Group Limited (ASX:TIP) entered into an agreement to acquire 50% stake in Conscious Capital Limited for AUD 3.95 million on August 25, 2022. The transaction involves Teaminvest acquiring 50% of Conscious Capital for AUD 1.97 million in Teaminvest shares and AUD 1.78 million in cash. As of June 30, 2022, Conscious Capital Limited reported revenue of AUD 2.786 million, EBITDA of AUD 2.393 million, and EBIT of AUD 2.393 million.

The transaction needs shareholder approval as two of the vendors of Conscious Capital (Howard Coleman and Regan Passlow) are directors of Teaminvest. As of November 25, 2022 The transaction was approved by Shareholders.
