Sub- Intimation of date of commencement of Buyback
Dear Sir/ Madam,
This is in furtherance to our letter dated August 03, 2022 and August 05 2022, disclosing the approval from Shareholders of TCI Express Limited ("the Company") to buy back its own fully paid-up equity shares of face value of Rs. 2/- each ("Equity Shares") from the shareholders of the Company (other than the promoters, promoter group and persons in control of the Company) payable in cash, for an amount aggregating up to Rs. 75 Crores ("Maximum Buyback Size") at a price not exceeding Rs. 2,050/- per Equity Share ("Maximum Buyback Price"), through the open market route through the stock exchanges, in accordance with Companies Act, 2013 and the Securities and Exchange Board of India (Buy-back of Securities) Regulations, 2018 (the "Buyback Regulations").
In this regard, we are pleased to inform you that as disclosed in the Public Announcement dated August 09, 2022, the Company has commenced the Buyback today i.e. August 18, 2022 ("Commencement Date") and will be closing on earlier of (i) February 13, 2023 i.e. six (6) months from the Commencement Date; or (ii) when the Company completes the Buyback by deploying the amount equivalent to the Maximum Buyback Size; or (iii) at such earlier date as may be determined by the Board or its Committee of Directors, after giving notice of such earlier closure, subject to the Company having deployed an amount equivalent to at least 50% of the amount earmarked as the Maximum Buyback Size for the Buyback i.e. Rs. 37.50 Crores.
