Kino Polska TV Spolka Akcyjna (WSE:KPL) agreed to acquire the remaining 2.24% stake in Stopklatka SA (WSE:STK) for PLN 1.5 million on October 11, 2019. Kino Polska Is acquiring the remaining shares for PLN 6.2 per share. The number shares to be acquired in this transaction is 0.2504 million shares which constitute the stake of 2.24%. Kino Polska already owns 97.76% stake in Stopklatka which constitutes a total shareholding of 10.920 million shares. Post the completion of the transaction, Polska will hold 11.171 million shares. All shares that will be acquired by the company Kino Polska TV SA under the tender offer are dematerialized shares registered in KDPW. Total percentage of votes from the shares and the corresponding number of shares that the purchasing entity intends to achieve after the call. The price at which the shares subject to the tender offer will be purchased, determined separately for each type of shares with identical voting rights if the shares subject to the tender offer differ in terms of the number of votes at the general meeting to which a given type of share entitles. The settlement of the tender offer was secured in the form of a cash deposit block on the cash accounts of the company Kino Polska TV SA, maintained by the brokerage house on the basis of brokerage services agreements concluded between the Kino Polska and the Brokerage House, from which the funds may be used only in to pay for the acquisition of Shares under the Tender Offer. The security was established in the amount equivalent to not less than 100% of the value of the Shares being the subject of the Tender Offer, calculated on the basis of the purchase price. As of November 20, 2019, Kino Polska Increased the offer per share from PLN 6.20 to PLN 7 per share.
