AFICO notifies

  • the results of market purchases of SOCFIN shares up to 31 October 2023 and
  • further market purchases of SOCFIN shares between 16 November 2023 and 15 February 2024

Referring to AFICO's original press release dated 26 September 2023, as updated on 29 September 2023 (available at https://www.luxse.com/issuer/SocFinCaoutchcs/24707), AFICO's order to purchase shares of Société Financière des Caoutchoucs (SOCFIN), ISIN LU0027967834, for EUR 31.00 per share, active up to and including 31 October 2023, has come to an end.

AFICO hereby notifies the market that on 22 trading days in the relevant period, AFICO acquired an aggregate of 215,453 SOCFIN shares, representing 1.52% of SOCFIN's total capital and voting rights, and equivalent to 31.26% of the freefloat as of 26 September 2023. AFICO made relevant notices in accordance with Article 3(1)(iii) of the Luxembourg law of 21 July 2012 on mandatory squeeze-out and sell-out (the Squeeze- out Law) on 29 September 2023, 5 October 2023, 11 October 2023, 17 October 2023, 24 October 2023,

30 October 2023and2 November 2023(alsoavailableat https://www.luxse.com/issuer/SocFinCaoutchcs/24707).

AFICO further notifies the market that it intends to place a new order to purchase SOFIN shares for EUR 31.00 per share, during the period beginning 16 November 2023 (including), up to and including 15 February 2024 (unless if suspended or terminated earlier for any reason and notified to the market by way of a press release).

Background:

In its capacity as Majority Shareholder within the meaning of Art. 3(1) of the Squeeze-out Law, AFICO published the proposed price and a valuation report prepared by an independent expert on 29 June 2023. During the ensuing opposition period, which ended on 29 July 2023, certain shareholders submitted oppositions to the CSSF, SOCFIN and AFICO. On 8 August 2023, AFICO informed the market that the initial indicative calendar, which had tentatively foreseen the final payment and mandatory share transfer on 24 August 2023, was obsolete and that a new indicative calendar (with yet unknown dates) would be published in due course. On 22 August 2023 the CSSF requested SOCFIN to propose the names of five independent experts on the basis of Article 4(7) of the Squeeze-out Law by 15 September 2023, SOCFIN accommodated the request on 8 September 2023. In the meantime, minority shareholders have posted their willingness to sell their SOCFIN shares on the Luxembourg Stock Exchange, and AFICO is prepared to acquire shares as set out in this press release.
