MATERIAL FACT

Randoncorp - Randon S.A. Implementos e Participações, ("Company"), in compliance with the provisions of Law 6,404, of December 15, 1976, and the Securities and Exchange Commission Resolution No. 44, of August 23, 2021, informs its shareholders and the market in general, that Suspensys Mogi Guaçu Ltda., ("Suspensys"), an indirect subsidiary of the Company, signed a contract with one of the largest truck and bus OEM in Brazil, for the manufacture and supply of front axles for its entire line of commercial vehicles.

To meet supply, the transaction involves the acquisition of assets and the construction of a new factory in Mogi Guaçu, SP, expected to start operations in the first quarter of 2025. The business is expected to generate additional revenue of up to R$ 7 billion in 10 years, during the term of the contract.

This move strengthens Suspensys' long-term strategy, adds an unprecedented range of products to its portfolio and expands its presence in the OEM market, reinforcing its partnership with a large global OEM operating in Brazil.

The completion of the operation is subject to precedent conditions set out in the contract, including approval by Cade (Administrative Council for Economic Defense).
