Minutes No 977 of the Board of Directors Meeting
DATE, TIME AND VENUE: On September 11, 2023, at 9:00 a.m., through the Governance Portal, being the Company's headquarters, located at Abramo Randon Ave., nº 770, Caxias do Sul, RS.
ATTENDANCE: All members of Randoncorp's Board of Directors.
PRESIDING BOARD: David Abramo Randon - President, and Claudia Onzi Ide - Secretary.
RESOLUTIONS: In accordance with the agenda known to all, in line with legal and statutory provisions, by unanimous vote, the Board members decided to approve the capitalization of the subsidiary Centro Tecnológico Randon Ltda. (CTR), Tax Payer Registry number 39.467.936/0001-62, through the subscription of quotas in the amount of R$ 4,669,050.00, corresponding to the Company's shareholding in that controlled company of 54.93%, to be paid in national currency, as follows: (i) R$ 2,197,200.00 until September 30, 2023, and (ii) R$ 2,471,850.00, until July 31, 2024. The contribution totals R$ 8,500,000.00 and the subscription of the percentage of 45.07%, corresponding to R$ 3,830,950.00, will be carried out under the same conditions, by the controlled and partner Fras-le S.A.
CLOSURE: There being no further matters to address, the meeting was closed,and the minutes were drawn up, read, approved in all its terms, and electronically signed by all Board members, through the Docusign digital platform.
