Background/Description of the Disclosure

In relation to the outstanding stock rights offering ("Offer") application of the Philex Mining Corporation (the "Company" and the "Issuer") with the Securities and Exchange Commission ("SEC") and the listing application with the Philippine Stock Exchange the Issuer is disclosing the final terms of the SRO including the timetable of offer activities.

The conduct of SRO is subject to compliance with regulatory requirement.
