The Otovo board of directors has on 28 February 2024 resolved to issue 417,860
shares under the authorisation given at the company's general meeting on 25
April 2023, in relation to the company's share purchase programme. The programme
was established in December 2020 and the participants that are still employed
after three years receive one retention share for every two shares purchased at
the start of the program. The shares issued now are subscribed at the nominal
value of NOK 0.1. The average amount the participants have paid per share under
the programme will be NOK 6.05 (incl. tax) after the issuance of retention
shares.

The following primary insiders and close associated have subscribed for shares
in the issue:

Andreas Thorsheim (through Andmar Operations AS): 7,150 shares
Simen Fure Jørgensen (through Simvest AS): 7,150 shares
Inigo Amoribieta: 71,520 shares
Paulina Ackermann: 71,520 shares
Lars Ekeland: 71,520 shares
All primary insiders subscribed the maximum amount available to them.
