NutraLife BioSciences, Inc. (OTCPK : NLBS) entered into a Stock Exchange Agreement to acquire Healthcare Concierges USA, Inc. from Mrugesh Patel, Pinal Kerai and Aysha Khan for 2 million.

NutraLife BioSciences, Inc. (OTCPK : NLBS) entered into a Stock Exchange Agreement to acquire Healthcare Concierges USA, Inc. from Mrugesh Patel, Pinal Kerai and Aysha Khan for 2 million on February 21, 2023. Pursuant to the terms of the agreement, the NutraLife agreed to acquire all of the Healthcare Concierge's common stock from the Stockholders in exchange for the issuance of 1,000,000 shares of common stock. In addition, NutraLife agreed to issue up to an additional 49,000,000 shares of common stock within 75 days of the closing date of the Exchange pending satisfactory completion of the Company's audit of the Seller's books and records per the terms of the Agreement.

The Board of Directors of the NutraLife has authorized the execution and delivery of this Agreement by the NutraLife and has approved this Agreement.
