Nucleus Financial Group plc (AIM:NUC) entered into a binding agreement to acquire UK business and assets of Genpact Wealth Management UK Limited for £1.5 million on November 2, 2020. The assets will be acquired on a cash-free, debt-free basis in exchange for a cash consideration. For the financial year to December 31, 2019, the assets generated an EBITDA loss of approximately £2.5 million. The staff of Genpact Wealth Management UK Limited that currently provides services to Nucleus Financial Group plc will transfer to Nucleus Financial Group plc, taking the combined team of Nucleus Financial Group plc to approximately 380 people. The completion of the transaction subject to customary regulatory engagement and subject to the transition of transferring employees and is expected to take place by the end of the year 2020. The acquisition is expected to be earnings enhancing for Nucleus Financial Group plc in 2021 before becoming increasingly accretive thereafter. Hugh Morgan, Edward Mansfield and Daniel Bush of Shore Capital acted as financial advisors and brokers for Nucleus Financial Group plc. Nucleus Financial Group plc (AIM:NUC) completed the acquisition of UK business and assets of Genpact Wealth Management UK Limited on December 10, 2020. The completion took place following the satisfaction of all conditions precedent.
