On June 24, 2019, Novelion Therapeutics Inc. announced that on June 20, 2019, Whitefort Capital Master Fund, LP filed a petition against the Company, as respondent, in the Supreme Court of British Columbia seeking a declaration that the Company has breached section 301 of the Business Corporations Act of British Columbia (BCA). The Company expressed its views that Whitefort Capital lacks any merit and that, contrary to Whitefort Capital’s allegations, the Company’s entry into the Restructuring Support Agreement providing for the treatment of the intercompany loan and the Company’s support of the plan of reorganization comply fully with applicable law and no approval of the Company shareholders is required in connection therewith. The Company also added that it intends to defend against the Whitefort Capital.
