FATO RELEVANTE

Joinville, 07 de fevereiro de 2022 - A NEOGRID PARTICIPAÇÕES S.A. ("Companhia" ou "Neogrid"), em cumprimento ao disposto no artigo 157, § 4º, da Lei n.º 6404/76, e na Resolução CVM nº 44/21, informa a seus acionistas e ao mercado em geral que, em continuidade ao processo de sucessão da presidência da Companhia, divulgado em 28 de outubro de 2021, o Conselho de Administração elegeu, nessa data, o Sr. Jean Carlo Klaumann para o cargo de Diretor Presidente, com posse em 1º de março de 2022.

Jean Carlo Klaumann é um profissional com mais de 25 anos de experiência no mercado de tecnologia, com graduação em Marketing e especializações em Gestão Executiva, Data Science, Inteligência Artificial e Governança Corporativa por instituições como Fundação Dom Cabral, University of Chicago e IBGC. Klaumann ocupou cargos como Diretor Comercial na Datasul de 2005 a 2008, Diretor de Operações na TOTVS de 2008 a 2011, e em 2011 iniciou sua história na Linx/StoneCo, nos cargos de Vice-Presidente de Operações e Digital & Omni Commerce.

Além de seu profundo conhecimento em gestão executiva e tecnologia aplicada à digitalização do ecossistema de varejo, o Sr. Jean Carlo Klaumann possui em seu currículo dois IPOs e mais de 30 aquisições.

Com a eleição do Sr. Jean Carlo Klaumann, a Neogrid adiciona um importante reforço para a continuidade da execução do plano de expansão e geração de valor para a Companhia e seus acionistas.

A Neogrid agradece ao Diretor Presidente que termina seu mandato em 28 de fevereiro de 2022, Sr. Eduardo Ragasol, por sua contribuição no desenvolvimento da Companhia enquanto esteve à frente das operações, e deseja-lhe votos de sucesso na continuidade de sua trajetória e em seu retorno ao México.

MATERIAL FACT

Joinville, February 7th, 2022 - NEOGRID PARTICIPAÇÕES S.A. ("Company" or "Neogrid"), in compliance with the provisions of article 157, paragraph 4, of Law 6404/76, and CVM Resolution 44/21, informs its shareholders and the market in general that, in continuation of the succession process of the Company's presidency, disclosed on October 28, 2021, the Board of Directors elected, on this date, Mr. Jean Carlo Klaumann to the position of CEO, with terms beginning on March 1st, 2022.

Jean Carlo Klaumann is a professional with over 25 years of experience in the technology market, with a degree in Marketing and specializations in Executive Management, Data Science, Artificial Intelligence and Corporate Governance from institutions such as Fundação Dom Cabral, University of Chicago and IBGC. Klaumann held positions as Commercial Director at Datasul from 2005 to 2008, Operations Director at TOTVS from 2008 to 2011, and in 2011 he began his history at Linx/StoneCo, in the positions of Vice President of Operations and Digital & Omni Commerce.

In addition to his in-depth knowledge of executive management and technology applied to the digitalization of the retail ecosystem, Mr. Jean Carlo Klaumann has two IPOs and more than 30 acquisitions under his belt.

With the election of Mr. Jean Carlo Klaumann, Neogrid adds an important reinforcement for the continuity of the execution of the expansion plan and generation of value for the Company and its shareholders.

Neogrid thanks the Chief Executive Officer who ends his term on February 28, 2022, Mr. Eduardo Ragasol, for his contribution to the development of the Company while he was in charge of operations and wishes him success in the continuity of his trajectory and in his return to Mexico.
