Mills anuncia mudança no Conselho de Administração
A Mills Estruturas e Serviços de Engenharia S.A. ("Companhia" ou "Mills"), sociedade por ações, com registro de emissor de valores mobiliários categoria "A" na Comissão de Valores Mobiliários ("CVM"), em atendimento ao disposto no parágrafo 4° do artigo 157 da Lei n° 6.404/76 e Resolução CVM nº 44, de 23 de agosto de 2021, conforme alteradas, comunica aos seus acionistas e ao mercado em geral que seu Conselho de Administração recebeu do Sr. Diego Stark, nessa data, carta de renúncia ao cargo de membro do Conselho de Administração da Mills, cujo mandato se estenderia até a Assembleia Geral Ordinária da Mills a ser realizada em abril de 2022.
Para preencher esta vacância, o Conselho de Administração aprovou, nessa mesma data, a eleição do Sr. Sebastian Agustin Villa, com mandato até a próxima Assembleia Geral da Companhia.
O Sr. Sebastian Villa é formado em economia pela Universidad de San Andrés e possui MBA pela Columbia University, sendo atualmente sócio da Southern Cross Group ("SCG"), onde também faz parte do Comitê Executivo e de Investimentos. Adicionalmente, ao longo dos anos tem atuado como Membro do Conselho de Administração de diversas empresas, tais como More Pharma, Ultrapetrol, Porto de Barranquilla, Brinox e Tópico. Antes de ingressar na SCG, o Sr. Sebastian Villa trabalhou na Three Cities Research, no Boston Consulting Group e na Royal Dutch Shell, possuindo ampla visão estratégica e financeira.
O Conselho de Administração, em nome de toda a Companhia, registra seu agradecimento ao Sr. Diego Stark pelas contribuições e deseja muito sucesso ao Sr. Sebastian Agustin Villa na nova atribuição.

Mills announces change in Board of Directors
Mills Estruturas e Serviços de Engenharia S.A. ("Company" or "Mills"), a corporation
registered as issuer of category "A" securities with the Brazilian Securities and Exchange Commission ("CVM"), in compliance with the provisions of paragraph 4 of article 157 of Law No. 6.404/76 and CVM Resolution No. 44/21, dated August 23, 2021, as amended, informs its shareholders and the market in general that on this date, Mr. Diego Stark, submitted his resignation letter as member of the Board of Directors of Mills, whose term in office would last up to the Company's Annual Shareholders' Meeting to be held in April 2022.
On this same date, the Board of Directors approved the election of Mr. Sebastian Agustin Villa, to fill the vacancy of board member, with a term of office until the next Shareholders' Meeting of the Company.
Mr. Sebastian Villa holds an Economics degree from the Universidad de San Andres and an MBA from Columbia University. He is currently a Partner in Southern Cross Group ("SCG") where he is also part of the Executive and Investment Committee. Additionaly, Mr. Villa has served as a board member of several companies through the years, such as MorePharma, Ultrapetrol, the Port of Barranquilla, Brinox and Topico. Prior to joining SCG, Mr. Villa worked at Three Cities Reasearch and at Royal Dutch Shell, proving broad strategic and financial skills.
The Board of Directors, on behalf of the entire Company, express its thankfulness to Mr. Diego Stark for his contributions and wishes Mr. Sebastian Agustin Villa all the best in his new assignments.
