	conditions as follows;
	"The Company shall adjust the exercise price and/or the
	exercise ratio to purchase the Company's newly-issued
	ordinary shares throughout the term of the MACO-W3 in case
	the Company issues and offers newly-issued securities to the
	existing shareholders which such securities are convertible /
	changeable to be the ordinary share or granting the right to
	purchase the ordinary share e.g.,warrant to purchase the
	ordinary share, at the "net price per share of the
	newly-issued ordinary shares for accommodate such right"
	below 90 percent of the "market price per share of the
	Company's ordinary shares"
