Cancellation of Loan Back Shares

LiveHire Limited (ASX: LVH) ("LiveHire" or the "Company") advises that, in accordance with the Company's employee incentive plan ("EIP"), the Company intends to cancel 2,311,050 ordinary shares in the Company ("Shares") which are subject to loan-back arrangements under the EIP ("Loan Back Shares"). Out of the 2,311,050 Loan Back Shares, 400,000 are presently held by Antonluigi Gozzi, an executive director of the Company. Further details are set out in the enclosed Appendix 3C.

The Loan Back Shares will be cancelled in accordance with the terms and conditions of the EIP as approved by shareholders at the Annual General Meeting held on 30 November 2020 and will be implemented on 27 June 2022. The outstanding loans associated with the Loan Back Shares will be extinguished and, accordingly, will not require an outlay of cash by LiveHire.
