SECOND SUPPLEMENTAL AGREEMENT

TO THE PURCHASE AND SALE AGREEMENT

IN RELATION TO THE ACQUISITION OF PROPERTY IN THE USA AND

FURTHER DELAY IN DESPATCH OF CIRCULAR

IN RELATION TO THE ACQUISITION OF PROPERTY IN THE USA

Reference is made to the announcement of the Company dated 15 April 2014 (the
''Announcement'') regarding the very substantial transaction in relation to the acquisition of the Property by the Purchaser from the Seller pursuant to the terms and conditions of the Purchase and Sale Agreement and the announcement of the Company dated 9 May 2014 in relation to, among others, the entering into of the supplemental agreement to the Purchase and Sale Agreement dated 9 May 2014 (the ''First Supplemental Agreement'') between the Purchaser and the Seller in relation to the extension of the Loan Assumption Period. Unless otherwise defined, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcement.
SECOND SUPPLEMENTAL AGREEMENT TO THE PURCHASE AND SALE AGREEMENT
Pursuant to the terms and conditions of the Purchase and Sale Agreement and as disclosed in the Announcement, the Purchaser shall have a 45-day Due Diligence Period from the date of the Purchase and Sale Agreement (i.e. from 14 April 2014 to 29 May 2014 (US time)) to conduct due diligence investigations on the Property.
As at the date of this announcement, the Company has engaged various professional parties to carry out due diligence investigation on financial, legal and environmental aspects and the property condition regarding the Property. As at the date of this announcement, the due diligence investigation on the Property is still on-going.
On 29 May 2014 (US time, which is after trading hours of the Stock Exchange), the Purchaser and the Seller entered into a second supplemental agreement (the ''Second Supplemental Purchase and Sale Agreement'', together with the First Supplemental Purchase and Sale

Agreement, the ''Supplemental Purchase and Sale Agreements'') to the Purchase and Sale Agreement, pursuant to which the parties agreed to extend the Due Diligence Period to 5 : 00 p.m. on 12 June 2014 (US time).
Save as amended by the Supplemental Purchase and Sale Agreements, all other terms and conditions of the Purchase and Sale Agreement remain unchanged.
FURTHER DELAY IN DESPATCH OF CIRCULAR IN RELATION TO THE ACQUISITION OF PROPERTY IN THE USA
Reference is also made to the announcement of the Company dated 21 May 2014 in relation to the delay in dispatch of circular (the ''Circular'') of the Company containing, among other things, (i) further details of the Acquisition; (ii) financial information on the Property; (iii) pro forma financial information on the Group; and (iv) independent property valuation report on the Property, together with a notice convening the EGM.
As stated in the announcement of the Company dated 21 May 2014, the Company intended to despatch the Circular to the Shareholders on or before 30 May 2014. However, as additional time is required to finalise the information to be included in the Circular which includes, among others, (i) further details of the Acquisition; and (ii) the financial information on the Group, the despatch date of the Circular is postponed to a date on or before 20 June 2014.
