ALLOTMENT AND ISSUANCE OF SHARES PURSUANT TO EXERCISE OF WARRANTS

The Board of Directors (the "Board") of Koh Brothers Eco Engineering Limited (the "Company") refers to the announcements dated 15 May 2017, 13 June 2017, 5 October 2017, 20 October 2017, 9 November 2017, 14 November 2017, 17 November 2017 and 18 October 2018 as well as the Offer Information Statement dated 20 October 2017 in relation to the Rights cum Warrants Issue. Unless otherwise defined, all capitalised terms shall bear the same meanings ascribed to them in the Offer Information Statement.

The Board wishes to announce that 17,647 new ordinary shares in the capital of the Company ("New Shares") have been allotted and issued by the Company today pursuant to the exercise of Warrants under the Deed Poll dated 13 October 2017.

The New Shares rank pari passu in all respects with the existing issued ordinary shares in the capital of the Company ("Shares"), save for any dividends, rights, allotments or other distributions, the record date for which falls on or before the date of issue and allotment of the New Shares.

Following the allotment and issuance of 17,647 New Shares pursuant to the exercise of Warrants W211112, the number of issued Shares in the Company has increased from 2,817,613,004 to 2,817,630,651 Shares.

LISTING AND QUOTATION OF NEW SHARES

The New Shares are expected to be listed and quoted on Catalist on or about 1 November 2021 and the trading of the New Shares is expected to commence with effect from 9.00 am on the same day.
