The board of directors of Kirin Group Holdings Limited announced that Mr. Chung Shu Kun, Christopher ("Mr. Chung") has resigned as an independent non-executive Director and a member of each of the audit committee, the remuneration committee and the nomination committee of the Company with effect from 15 May 2020 in order to devote more time to pursue his other business commitments. Mr. Chung has confirmed that (i) he has no claim against the Company in respect of his resignation and there is no disagreement with the Board; and (ii) there are no matters that need to be brought to the attention of The Stock Exchange of Hong Kong Limited and the shareholders of the Company in relation to his resignation. The Board announced that Mr. Li Chun Sing ("Mr. Li") has been appointed as an independent non-executive Director and a member of each of the Audit Committee and the Remuneration Committee with effect from 15 May 2020. Mr. Li Chun Sing, aged 28, holds a bachelor's degree of commerce in accounting and finance from The University of New South Wales, Australia. He is a member of the Certified Practising Accountant Australia. He had worked at Ernst & Young, an international accounting firm, for five years. Mr. Li has entered into a letter of appointment with the Company for his appointment as an independent non-executive Director for a term of one year commencing from 15 May 2020, which is terminable by either party by giving a one-month written notice. Mr. Li shall be subject to retirement by rotation and re-election in accordance with the bye-laws of the Company. The Board further announces that Mr. Wang Hongtao ("Mr. Wang"), an executive Director, has been appointed as a member of the Nomination Committee, with effect from 15 May 2020. The Board would like to take this opportunity to welcome Mr. Li for joining the Board and thank Mr. Chung for his efforts and valuable contributions to the Company during his tenure of office.
