On March 11, 2024, International Business Machines Corporation announced that it has received a shareholder proposal from Kenneth Steiner requesting Board undertake such steps as may be necessary to permit written consent by shareholders entitled to cast the minimum number of votes that would be necessary to authorize the action at a meeting at which all shareholders entitled to vote thereon were present and voting. This includes shareholder ability to initiate any appropriate topic for written consent. In addition, the board has recommended shareholders to vote against this proposal at the 2024 Annual Meeting to be held on April 30, 2024.
