※ The issuing price per share in this information disclosure is the 1st issuing price, and the confirmed issuing price is determined on July 26, 2022 according to the formula below and will be disclosed on July 27, 2022.
① Calculation of 1st issuing price : The third trading day before the reference date for new share allotment is the initial date, and the lower of the value calculated by arithmetic average of 1-month weighted arithmetic average stock price, one-week weighted arithmetic average stock price, and the weighted arithmetic average stock price of the initial date based on the weighted arithmetic average of the trading prices established in the securities market and the weighted arithmetic average stock price of the initial date is the base stock price, and the 1st issuing price is calculated by the formula below by applying a discount rate of 20%. However, anything less than the asking price shall be rounded up and if the issuing price per share is less than the par value, the par value shall be the final issuing price.
② Calculation of 2nd issuing price : The third trading day before the subscription date is the initial date, and the lower of the value calculated by arithmetic average of one-week weighted arithmetic average stock price, the weighted arithmetic average stock price of the initial date based on the weighted arithmetic average of the trading prices established in the securities market and the weighted arithmetic average stock price of the initial date is the base stock price, and the 2nd issuing price is calculated by the formula below by applying a discount rate of 20%. However, anything less than the asking price shall be rounded up and if the issuing price per share is less than the par value, the par value shall be the final issuing price.
③ Confirmed issuing price: The confirmed issuing price is the lower of the 1st issuing price and the 2nd issuing price. However, based on the calculation basis of Article 5-15-2 of the 'Regulations on Issuance and Disclosure of Securities', a discount rate of 40% is applied to the weighted arithmetic average stock price from the 3rd to 5th trading day in the past before the subscription date. If the calculated price exceeds the lower of the 1st issuing price of ① and the 2nd issuing price of ②, the price shall be the final issuing price. ?(However, if the price is less than the asking price, it is raised by the asking price, and If the value is less than the par value, the par value shall be the issuing price.)
▶ Confirmed issuing price = Max{Min[1st issuing price, 2nd issuing price], 60% of the weighted arithmetic average stock price from the 3rd trading day to the 5th trading day before the subscription date}
④ The final issuing price is determined on the 3rd trading day before the first day of the existing shareholders' subscription date and is scheduled to be disclosed in the electronic disclosure system of the Financial Supervisory Service. It will be disclosed on the Internet website (http://www.hsdengine.com) in place of individual notice.
※ The issuing price of the general public offering is the same as the fixed issuing price applied at the time of subscription for the employee stock ownership association and old stockholders.
