Grifols shares CNMV statement

March 25, 2024

The Comisión Nacional del Mercado de Valores (CNMV) denies recent information published by El Economista on possible additional investigations into the Grifols family or between

Grifols and Scranton.

THE CNMV DENIES INFORMATION ABOUT ADDITIONAL INVESTIGATIONS IN RELATION TO GRIFOLS

The newspaper El Economista publishes today in four different sections (Cover page, page 10, editorial and protagonists) that the CNMV is analyzing or investigating a possible "illicit profit" of the "Grifols family" in relation to its relations with the listed company

Grifols S.A. , that "the CNMV will ask for more explanations for the links with the family" and that "it will analyze the relationships between the company and the investment vehicle of the founding Scranton family, in case they constitute a sanction."

The CNMV denies, as it did yesterday in direct contact with said media, this information. It is false that the CNMV is currently carrying out or plans to initiate additional investigations into possible illicit profits by the Grifols family or into relations between the company and Scranton.

The deficiencies pointed out by the CNMV are those detailed in the communication sent to the company dated March 21 and published by the company that same day.

This communication addresses the CNMV's conclusions on this matter, in particular, whether the transactions with related parties (Grifols shareholders) were carried out under market conditions. The conclusions of the communication do not include any reference to deficiencies detected in the economic terms and prices of said transactions.
