CONNECTED TRANSACTION

SUBSCRIPTION OF NEW SHARES UNDER SPECIFIC MANDATE

DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement (the "Announcement") of Global Bio-chem Technology Group Company Limited (the "Company") dated 27 September 2019. Unless the context otherwise requires, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

As stated in the Announcement, a circular (the "Circular") containing, among other things, further information on (i) the Subscription Agreement and the transaction contemplated thereunder (including the Specific Mandate); (ii) the respective letters from the Independent Board Committee and the Independent Financial Adviser in respect of the Subscription Agreement and the transaction contemplated thereunder; and (iii) a notice of the EGM is expected to be despatched to the Shareholders on or before 22 October 2019. As additional time is required for the Company to prepare and finalise the information to be included in the Circular, it is expected that the Circular will be despatched on or before 8 November 2019.
