The Board announces that with effect from 18 March 2013, Ms. Shi Dai resigned as a non-executive director and a member of the remuneration and nomination committee of the Company and Mr. Kuo Ming-Jian was appointed as a non-executive director and a member of the remuneration and nomination committee of the Company.

Resignation of Non-executive Director and Remuneration and Nomination Committee Member

The board of directors (the "Board") of Far East Horizon Limited (the "Company") announces that Ms. Shi Dai ("Ms. Shi") resigned as a non-executive director and a member of the remuneration and nomination committee of the Company with effect from 18 March 2013 due to other business engagements.
Ms. Shi has confirmed that she has no disagreement with the Board and there is no matter in relation to her resignation that needs to be brought to the attention of the shareholders of the Company.
The Board would like to express its gratitude to Ms. Shi for her valuable efforts and contributions to the Company during her tenure of office.

Appointment of Non-executive Director and Remuneration and Nomination Committee Member

The Board of the Company is pleased to announce that Mr. Kuo Ming-Jian ("Mr. Kuo"), aged 51, was appointed as a non-executive director and a member of the remuneration and nomination committee of the Company with effect from 18 March 2013.

Mr. Kuo received his undergraduate degree from Fu-Jen Catholic University and holds an MBA
degree from City University of New York.
From 1989 to 1998, Mr. Kuo was with Citibank Taipei. His last position there was the Head of Corporate Banking in Taiwan, responsible for all client management and business relationships. Before that he was Head of Merchant Banking Group, in charge of investment banking and capital market products with a proven ability in product development. Prior to that, he spent six years in Treasury in Citibank New York and Citibank Taipei, responsible for the distribution of foreign exchange and capital markets products to corporate and high net worth individuals. He was the Chief Trader and head of FX for Citibank Taipei from 1993 to 1995.
Mr. Kuo and his family moved to Hong Kong in 2002, as the Country Head and Head of Investment Banking for JPMorgan in Hong Kong. During his three and a half years of service as one of the most senior investment bankers in JPMorgan, he led and was involved in many capital market transactions as well as many landmark corporate finance transactions. Mr. Kuo also served on the Advisory Committee for both the Hong Kong Monetary Authority (HKMA) and InvestHK as a board member since 2002. Mr. Kuo was also the Vice Chairman of JPMorgan's greater China Operating Committee, which is the decision-making body for all greater China related matters.
During Mr. Kuo's service in investment banking with JPMorgan (4 years in Taiwan as the Country Head and Head of Investment Banking prior to his relocation to Hong Kong in 2002), Mr. Kuo led many international offerings in both the greater China markets as well as global exchanges. Mr. Kuo is also one of the most reputable Merger & Acquisition bankers within the greater China region. Mr. Kuo is well known for his close connection with all the key corporate seniors and was named the "Golden Boy of M&A" in Taiwan.
Before joining Blackstone, Mr. Kuo was a Partner and Co-Vice Chairman and Managing
Director, Head of greater China in H&Q Asia Pacific.
Mr. Kuo has been a Senior Advisor of Blackstone Private Equity since January 2013. Prior to this, Mr. Kuo was a Senior Managing Director of Blackstone Private Equity since 2008. Mr. Kuo also led the firm's direct investment activities in the region as the Vice Chairman of Blackstone, greater China, since October 2007.
Mr. Kuo is an active member of the Young President's Organization (YPO), an independent non- executive director of Cathay Financial Holdings Co., Ltd. (a TWSE listed company) (the largest financial conglomerate in Taiwan), an independent non-executive director of Cathay Life Insurance Co., Ltd. (a TWSE listed company) and an independent non-executive director of Samson Holding Limited (a Stock Exchange listed company), which is one of the largest Chinese furniture companies listed on the Stock Exchange. Mr. Kuo passed series 3 and series 7 when he was in the US in the late 80's and had also completed the HKSI Financial Market Principal Programme Examination, Paper 1 - SFC in 9 November 2002.
Save as disclosed above, Mr. Kuo has not held any other directorships in the last three years in public companies the securities of which are listed on any securities market in Hong Kong or overseas, nor does he hold any other position with the Company and other members of the Group or possess any other major professional qualifications.

The Company has entered into a letter of appointment with Mr. Kuo for a term with effect from the date of his appointment and ending on the forthcoming annual general meeting of the Company. He is subject to retirement by rotation and re-election in accordance with the Rules Governing the Listing of Securities on the HKEx (the "Listing Rules") and the articles of association of the Company. Mr. Kuo will not receive any emoluments from the Company in performance of his duties.
Mr. Kuo does not have any interest in any shares of the Company pursuant to Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). He does not have any relationship with any directors, senior management, substantial shareholders or controlling shareholders of the Company.
Save as disclosed above, there is no other information which is discloseable pursuant to any of the requirements under Rules 13.51(2)(h) to 13.51(2)(v) of the Listing Rules, and there are no other matters relating to the appointment of Mr. Kuo that need to be brought to the attention of the shareholders of the Company.
