ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On July 13, 2021, the Company announced, via press release, that Craig White has been appointed the Company's new Chief Executive Officer and President effective immediately and Randall White will transition to Executive Chairman.

Also, on July 13, 2021, the Board of Directors of the Company unanimously approved adding Craig White to the Company's Board of Directors. Mr. Craig White has worked for Educational Development Corporation in excess of 30 years, most recently as the Company's Chief Operating Officer where his responsibilities focused on the Company's IT and Operations departments. Mr. Craig White is being added as a Class II Director.
