EAT&HOLDINGS Co.,Ltd (TSE:2882) agreed to acquire Ippinko Co., Ltd and Ippinko Foods Co., Ltd from Tetsuya Tashiro, Shintaro Tashiro, Kenji Kato and Ippinko on December 15, 2020. As per the transaction, EAT&HOLDINGS Co.,Ltd will acquire 0.13 million shares of Ippinko Co., Ltd and Ippinko Foods Co., Ltd. Ippinko Co., Ltd reported net assets of ¥248 million, total assets of ¥413 million, sale of ¥819 million, operating income of ¥10 million and net loss of ¥21 million. Ippinko Foods Co., Ltd reported net assets of ¥84 million, total assets of ¥105 million, sale of ¥177 million, operating income of ¥4 million and net income of ¥3 million. The transaction is expected to be complete by December 30, 2020. The impact share transfer agreement of the on the consolidated financial results for the current fiscal year will be minor.
