March 21, 2024 - Crayon Group Holding ASA ("Crayon") has successfully completed
a new 4-year senior unsecured bond issue with an initial issue amount of NOK
1,200 million. The bonds will carry an interest rate of 3m NIBOR plus a margin
of 2.75% and the issue date is expected to be 8 April 2024. An application will
be made for the bonds to be listed on Oslo Stock Exchange.

Concurrently with the new bond issue, Crayon has repurchased bonds for
approximately NOK 700 million in the outstanding 2021/2025 senior unsecured
bonds with ISIN NO0011045478 ("Existing Bonds").
Crayon has furthermore notified Nordic Trustee AS today of the exercise of its
call option for the remaining outstanding Existing Bonds with original maturity
date 15 July 2025, and each Bondholder is hereby given notice thereof.

The exercise of the call option is conditional upon certain conditions as set
out in the call option notice being satisfied no later than 8 April 2024.

Subject to satisfaction of the aforementioned conditions, the remaining Existing
Bonds will in accordance with the bond terms of such bonds be repaid at 101.481%
of the Nominal Amount (plus accrued and unpaid interest on the redeemed amount).
Settlement is expected to be 11 April 2024.
