COMPLETION OF DISCLOSEABLE TRANSACTION IN RELATION TO THE ACQUISITION OF 32% EQUITY INTEREST OF MANCALA HOLDINGS LIMITED AND THE ISSUE OF CONSIDERATION SHARES UNDER GENERAL MANDATE

Reference is made to the announcement of China Vanadium Titano-Magnetite Mining Company Limited dated 29 September 2017 in relation to the acquisition of 32% equity interest in Mancala Holdings Limited ("Announcement"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Announcement.

The Board is pleased to announce that all the Conditions Precedent under the Sale and Purchase Agreement have been fulfilled and that Completion has taken place on 1 December 2017. Taking into account the Previous Acquisition, the Company is interested in 81% of the entire issued share capital of the Target. The Company will allot and issue the Consideration Shares to the Vendor within five Business Days from the Completion Date in accordance with the Sale and Purchase Agreement.
